Kroger is fighting back against a lawsuit brought by Albertsons over its failed $24.6 billion takeover of the rival grocery chain.

Both top U.S. grocery operators are moving on from their respective CEOs only months after a proposed deal to combine their operations was blocked by a federal judge.

The board of directors said it was made aware on Feb. 21 of “certain personal conduct by McMullen and immediately retained outside independent counsel to conduct an investigation.”

Albertsons Cos. raised its adjusted earnings outlook for the full year, a positive sign for the grocer seeking to pave a new path after its proposed deal with Kroger Co. fell apart.

Albertsons is giving up on its merger with Kroger and it is suing the grocery chain, saying it didn’t do enough to secure regulatory approval for the $24.6 billion agreement.

A judge blocked Kroger's $24.6 billion acquisition of Albertsons Cos., finding the takeover would lessen competition for grocery shoppers in a ruling that marks a likely death knell for the deal.

During visits to Costco stores in northern New Jersey, Oppenheimer analyst Rupesh Parikh said his team “observed behaviors similar to the start of the pandemic.”

Albertsons and Kroger insist a merger would help them lower prices and better compete with big rivals such as Walmart, Costco and Amazon.

Kroger Co. lifted its full-year sales guidance as the grocery-store operator benefits from consumers prioritizing spending on groceries and other essentials.
